Supplier Code of Conduct
Introduction
Pega is committed to the highest standards of ethical and legal conduct, as described in our company Code of Conduct. We strive to foster a culture where employees can perform at the highest levels, are empowered to make good and ethical decisions, and to never compromise their personal integrity or the integrity of Pegasystems for business gains. We expect all Pega suppliers to likewise conduct themselves ethically and with integrity, and to understand and comply with this Supplier Code of Conduct and all applicable laws and regulations. If any Pega supplier has a question about this Supplier Code of Conduct or its applicability, it should contact us for clarification.
Business Conduct
Pega suppliers shall conduct their business with integrity and in accordance with their obligations under their contracts with Pega. In addition to any other obligations they may have, Pega suppliers are required to:
- Protect and responsibly use Pega’s equipment, systems, tools, materials and supplies.
- Protect and use only as allowed in their contracts with Pega any Pega trade secrets and other confidential and/or proprietary information they are permitted to access.
- Comply with the intellectual property rights of Pega and third parties.
- Avoid conflicts of interest and the appearance of conflicts of interest.
- Avoid offering or receiving any gift or entertainment of more than de minimus value or where it is offered with the intent to influence a business decision.
- Protect personal data against the risk of loss or destruction, and unauthorized access, use, modification, or disclosure.
- Avoid buying or selling securities while possessing material non-public information about the security’s issuer, and avoid disclosing material non-public information to any third party.
Labor, Employment and Workplace Standards
Pega does not tolerate child labor, slavery, human trafficking, servitude or forced or compulsory labor in its supply chain and Pega suppliers must adhere to the same standards in their own supply chains.
We are committed to providing a safe workplace, free of harassment, and equal employment opportunity for all persons without regard to race, color, religion, sex, national origin, ancestry, age, disability, veteran status, marital status, sexual orientation or gender identity.
We expect our suppliers to protect the human rights of their employees and to treat their employees fairly, with dignity and respect. We expect our suppliers to share our commitment to equal opportunity, diversity and inclusion, and providing a safe workplace. Pega suppliers shall prohibit harassment, including but not limited to physical, verbal, psychological and sexual harassment. Pega suppliers shall conduct their employment practices in full compliance with all applicable laws and regulations and consistent with International Labor Organization standards, including those concerning working hours, wages and benefits, and freedom of association.
Financial Responsibility
Pega suppliers must maintain accurate books and records and make available for audit and inspection all documents related to the products and services they provide to Pega. Pega suppliers must ensure bills are accurate and properly submitted in a timely manner, and that any expenses incurred are properly documented, reasonable and necessary. They must also securely retain and destroy documents in accordance with applicable law, regulations and standards.
Law and Regulatory Compliance
Pega suppliers are expected to know and operate in full compliance with the laws and regulations applicable to them, including but not limited to laws and regulations concerning anti-corruption and bribery, anti-money laundering and counter-terrorism financing, prevention of slavery and human trafficking, data privacy and security, trade and export control, competition, the environment, dealings with government, labor and employment, and trading in securities. Pega suppliers supporting Pega’s U.S. government contracts or subcontracts must follow all applicable Federal Acquisition Regulations (FARs).
Government
Suppliers must know and follow the rules and regulations concerning relations with public agencies and conduct themselves in a manner that avoids even the perception of an attempt to improperly influence public officials in the performance of their official duties.
Sustainability and Environment
Pega is committed to help protect the environment and has adopted sustainability and other initiatives to reduce its environmental impact. We expect Pega suppliers to adopt policies and practices to reduce environmental impact, and to follow all applicable environmental laws, regulations and standards.
Compliance and Reporting
Pega suppliers are expected to monitor their compliance with this Supplier Code of Conduct and ensure their employees, agents, and subcontractors understand and comply with this Supplier Code of Conduct. Pega suppliers must promptly inform Pega of any noncompliance and Pega reserves the right to audit suppliers’ compliance.
If you become aware of any violation or suspected violation of this Supplier Code of Conduct, you must report it promptly according to the procedures located at https://www.pega.com/about/leadership/governance/reporting-accountability-concerns.
We will not retaliate against, or tolerate retaliation by any other person against, anyone who in good faith reports a violation or suspected violation of this Supplier Code of Conduct.
